Developer Terms

Important: These Developer Terms supplement our Terms of Service and apply whenever you access Pantheon programmatically. Where these Developer Terms and the Terms of Service conflict, these Developer Terms govern your programmatic access; the Terms of Service govern everything else.

1. Scope and Precedence

These Developer Terms ("Developer Terms") govern your access to and use of the Pantheon application programming interface ("API"), the Pantheon Model Context Protocol server ("MCP Server"), the Pantheon command-line interface ("CLI"), and any API keys, tokens, or other credentials we issue for them (collectively, the "Developer Services").
By creating an API key, connecting an MCP client, installing the CLI, or otherwise accessing the Developer Services, you agree to these Developer Terms, our Terms of Service, our Privacy Policy, and the Platform Terms described in Section 6. If you are accessing the Developer Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" means that entity.
Order of precedence: (a) any written agreement signed by Pantheon; (b) these Developer Terms; (c) the Terms of Service; (d) the Privacy Policy.

2. License

Subject to your continued compliance with these Developer Terms, Pantheon grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the term to: (a) access and use the Developer Services in accordance with our documentation; and (b) integrate the Developer Services into software applications that you develop and operate for your own end users ("Your Application").
No other rights are granted. All rights not expressly granted are reserved by Pantheon.

3. API Keys and Credentials

  • You are responsible for keeping every API key, token, and credential we issue to you confidential, and for every action taken with them, whether or not you authorized it.
  • You must not share credentials with any third party, embed them in client-side or publicly distributed code, or transfer them between accounts or organizations.
  • You must notify us at enterprise@pantheon.run without delay if you believe a credential has been compromised.
  • We may rotate, suspend, or revoke any credential at any time if we reasonably believe it has been compromised or is being used in breach of these Developer Terms.

4. Rate Limits and Quotas

The Developer Services are subject to the rate limits, quotas, and usage limits published in our documentation or set out in your plan. We may throttle or reject requests that exceed them. Attempting to circumvent limits — including by rotating keys, distributing requests across accounts, or proxying access — is a breach of these Developer Terms.

5. Your Application and Your End Users

  • You are solely responsible for Your Application and for your relationship with its end users. You must publish and honor your own terms of service and privacy policy, and obtain every consent and provide every notice required by law and by the Platform Terms before any end-user data reaches the Developer Services.
  • You are responsible for the acts and omissions of your end users in connection with the Developer Services as though they were your own.
  • You must not represent Your Application as being made, endorsed, or operated by Pantheon, and you must not use our name, logo, or trademarks except as permitted in writing.
  • You must not use the Developer Services in any product or service that competes with Pantheon, or to build, train, or improve any product or service that does.

6. Platform Terms (Pass-Through)

The Developer Services expose data and functionality that originate from third-party platforms Pantheon connects to. Your access is downstream of our access, and their rules bind you as they bind us. The following terms, as updated by their publishers from time to time, are incorporated into these Developer Terms by reference (the "Platform Terms"), and a breach of any Platform Term is a breach of these Developer Terms:
  • Any other platform whose data you access through the Developer Services, per the terms that platform publishes for developers.
Without limiting the above, you must: (a) honor deletions — when content or a contact is deleted, withdrawn, or made private on the originating platform or in Pantheon, delete your copy promptly and in any case within 24 hours of our request; (b) not use message content, contact data, or other platform data to train, fine-tune, or improve any machine learning or artificial intelligence model; (c) use message and contact data only for the purpose the end user granted, and never conceal that use from them; (d) not scrape, harvest, or bulk-export platform data to build a dataset, directory, or index; and (e) not use the Developer Services for surveillance, profiling on protected characteristics, or any purpose the Platform Terms prohibit.

7. Data

  • Data you submit to the Developer Services remains yours. Data structures, enrichments, and other outputs the Developer Services generate from it are governed by Section 11 (AI and Machine Learning) of the Terms of Service.
  • We process data submitted through the Developer Services solely to provide the Developer Services to you and to calculate fees, as described in our Privacy Policy.
  • We retain request metadata (such as timestamps, endpoints, response codes, and token counts) for security, billing, and service operation. This does not include a license to the content of your requests beyond what is needed to serve them.

8. Credits and Fees

  • Use of the Developer Services consumes credits at the rates published on our pricing page or set out in your plan. Rates may change on notice as described in the Terms of Service.
  • Purchased credits expire twelve (12) months after purchase or at the end of your plan term, whichever comes first. Promotional credits are consumed before purchased credits and expire on the date we specify when issuing them.
  • Credits are non-refundable and non-transferable. No refund is owed for unused credits when your access is terminated for breach.
  • You are responsible for all taxes associated with your use of the Developer Services, other than taxes on Pantheon's net income.

9. Changes and Deprecation

We may update, modify, or discontinue any part of the Developer Services at any time. Where a change would break a documented integration, we will give notice by email as described in Section 22 of the Terms of Service (sixty (60) days for changes materially affecting programmatic access) and, where practicable, keep the previous behavior available for that period. Continued use of the Developer Services after a change takes effect is acceptance of it.

10. Compliance Review

On reasonable notice, and no more than once in any twelve (12) month period unless we have reason to believe you are in breach, you will provide us with information and records reasonably sufficient to show that Your Application and your use of the Developer Services comply with these Developer Terms and the Platform Terms. We will treat what you provide as confidential under Section 15 of the Terms of Service.

11. Suspension and Termination

  • We may suspend or revoke any credential, and suspend or terminate your access to the Developer Services, immediately and without prior notice if we determine that you have breached these Developer Terms, the Terms of Service, or any Platform Term, or that your use threatens the security, integrity, or availability of the Developer Services or any connected platform. No cure period applies.
  • We may otherwise suspend or terminate your access to the Developer Services on thirty (30) days' notice, or immediately if a connected platform requires it.
  • You may stop using the Developer Services at any time by revoking your credentials.
  • On termination, your license ends, you must stop all use of the Developer Services and delete any cached data obtained through them within thirty (30) days, and Sections 5, 6, 7, 10, 11, and 12 survive.

12. Warranty and Everything Else

For paid plans, we warrant that the Developer Services will perform materially as described in our documentation. If they do not, and you notify us at enterprise@pantheon.run within thirty (30) days of the issue arising, we will use reasonable efforts to correct it within thirty (30) days; if we cannot, either of us may terminate your paid plan and we will refund any unused purchased credits. This is your sole remedy for breach of this warranty. Free and trial access is provided "as is".
Except as stated in this Section, the Developer Services are provided as described in Section 17 (Disclaimer of Warranties) of the Terms of Service. Sections 18 (Limitation of Liability), 19 (Indemnification), 21 (Governing Law and Dispute Resolution), and 22 (Changes to Terms) of the Terms of Service apply to these Developer Terms in full and are not restated here.
