Document sharing & data rooms
How to organize investor files, track document reading and understand signing rules without mistaking activity for identity or intent.
Investor Data Room Checklist (Pre-Seed, Seed, Series A)
Start with a short index, current pitch deck, basic company documents and a clear owner for each file. Add detail as the round advances: pre-seed investors need a coherent story, seed investors usually need operating and ownership evidence, and Series A diligence calls for a deeper financial, legal and customer record. Share only what a specific investor needs at that stage.

A data room is an organized place to share confidential files with outside reviewers. A virtual data room usually adds controlled access and, depending on the product, an audit trail. Most seed rounds can start with a well-structured tracked folder; complex M&A diligence may justify a dedicated VDR with granular permissions and formal review workflows.

A sent PDF attachment cannot report who opened or read its copy. An email open pixel only reports activity around the email, not the deck. A tracked link can record visits, pages viewed and time per page, but forwarding, shared devices and unverified email entries limit what it can say about the human reader.

Electronic signatures can have legal effect in the US, Canada and EU, but the rule depends on the document, jurisdiction and how consent, identity and the record are handled. An electronic mark alone is not a universal guarantee. Check the applicable law and the specific transaction. General information, not legal advice.

Google’s Activity dashboard can show viewer history for eligible work or school files, but you need edit access and it does not show viewers outside your own Workspace domain. Notion shows page analytics to owners and editors, but anonymous web viewers do not appear in its named-viewer list. For outside readers, use a tracked document link and still treat entered identity as uncertain unless verified.
