Are Electronic Signatures Legally Binding? (US, Canada, EU)
TL;DR
Electronic signatures can have legal effect in the US, Canada and EU, but the rule depends on the document, jurisdiction and how consent, identity and the record are handled. An electronic mark alone is not a universal guarantee. Check the applicable law and the specific transaction. General information, not legal advice.

What makes an electronic signature useful as evidence?
The practical questions are who signed, whether they intended to sign, what they consented to, which version they signed and whether the record can be retrieved later. A typed name, drawn signature or digital signature can be part of that evidence, but the surrounding process matters. Keep the agreement and its signing record together and ask counsel about high-stakes or regulated transactions.
United States: what does the ESIGN Act say?
The federal ESIGN Act generally says a signature or contract cannot be denied legal effect solely because it is electronic. Its consumer provisions include consent and disclosure requirements. The statutory exceptions cover categories such as wills, certain family-law matters and some notices. State rules also matter: most US states have versions of the Uniform Electronic Transactions Act. Do not assume every document can use the same signing flow.
Canada: federal and provincial rules
Canada’s PIPEDA Part 2 provides electronic alternatives where federal laws call for paper, with Secure Electronic Signature Regulations for particular federal requirements. Many private commercial agreements instead turn on provincial law. For example, Ontario’s Electronic Commerce Act, British Columbia’s Electronic Transactions Act and Québec’s technology framework law are separate texts. Check the province and the document type.
European Union: what does eIDAS cover?
The EU’s eIDAS regulation sets a framework for electronic signatures and distinguishes ordinary, advanced and qualified forms. A qualified signature has a more specific trust-service process than simply drawing a name on a PDF. The 2024 amendment updates the wider European digital identity framework. Which level is appropriate depends on the transaction and applicable national rules.
How should a team choose a signing workflow?
Identify the parties and jurisdictions, the document category, whether any exception or special form applies, and what evidence must be retained. For agreements sent to other people, use a service built for signature requests, signer routing and a completion record, and have counsel review important forms. Do not describe a tool as legally compliant just because it puts a signature image on a PDF.
Frequently asked questions
Is typing my name an electronic signature?
It can be part of one, depending on intent, the surrounding record and applicable law. A typed name by itself does not answer whether a particular document meets every legal requirement.
Are electronic signatures valid for every US document?
No. The ESIGN Act has exceptions, and state and subject-specific rules can impose additional requirements. Check the document category and jurisdiction.
Does PIPEDA govern every Canadian business contract?
No. Its electronic-documents part addresses federal-law paper requirements. Provincial electronic-commerce statutes often matter for private contracts.
Is a drawn PDF signature automatically an EU qualified signature?
No. eIDAS distinguishes signature levels; a qualified signature calls for a specific trust-service process. Check the required level before choosing a tool.
