Investor Data Room Checklist (Pre-Seed, Seed, Series A)

TL;DR

Start with a short index, current pitch deck, basic company documents and a clear owner for each file. Add detail as the round advances: pre-seed investors need a coherent story, seed investors usually need operating and ownership evidence, and Series A diligence calls for a deeper financial, legal and customer record. Share only what a specific investor needs at that stage.

What belongs in every investor data room?

Give the reader a one-page index with folder names, document dates and a contact for questions. Keep the current deck and a short company overview easy to find. Label drafts, remove duplicate versions and explain missing items. Decide who can see sensitive files before putting them in a shared folder. A clean room is easier to review than a large dump of exports.

Pre-seed checklist

Include a current pitch deck, team biographies, company formation documents, a simple capitalization table and a short statement of what you are building and testing. If you have a budget, show the assumptions behind it; do not present a forecast as historical revenue. Add customer interviews or product evidence only when you can explain the source and consent to share it. A lean folder is usually enough at this stage.

Seed checklist

Keep the pre-seed materials current, then add recent financial statements or a clear cash summary, a fundraising plan, material customer or pilot agreements, key intellectual-property assignments and a current cap table. Include product metrics with definitions and dates so an investor can tell what was measured. Separate signed contracts from templates and pending drafts. Ask counsel what to redact before sharing personal or confidential information.

Series A checklist

Expect deeper review of revenue quality, retention definitions, major contracts, board and financing documents, employment and option records, security practices and material liabilities. Use a consistent reporting period across financial and operating files. Keep an owner and last-updated date for each folder. A full diligence request may need a dedicated virtual data room with granular permissions and Q&A; scope that with your advisers.

A folder index you can adapt

A simple index is 01 Company & team, 02 Pitch & product, 03 Financials, 04 Customers & metrics, 05 Legal & cap table, 06 Security & operations, and 07 Round materials. Within each folder, name files with a date and status, such as 2026-10 Revenue summary - final.pdf. Keep investor-specific answers in a separate area if they contain terms or context another reader should not see.

How should you share and maintain the room?

Start with the deck and a small set of files, then expand access as diligence progresses. Use a tracked folder link if you need to know which files were opened, but do not treat a view as proof of understanding. Revoke stale access and review the folder after every material update. Learn the difference between a tracked folder and a formal VDR. Pantheon’s invite-only alpha offers lightweight Spaces (data rooms) with nested folders and per-file views and downloads.

Frequently asked questions

Do I need a data room before my first investor call?

Usually a current deck and a clear way to share follow-up files are enough. Build the index early so you can add documents without a scramble.

Should every investor see the same files?

No. Share files appropriate to the stage and relationship, and review sensitive material before granting access. Use a process for investor-specific terms and confidential customer information.

What is the difference between a seed and Series A room?

A seed room usually centers the story, ownership, basic finances and evidence of progress. Series A diligence often asks for deeper financial, contractual, legal and operating records.

Can a Google Drive folder work as an investor data room?

For a small round, an organized folder can work. Google’s Activity dashboard does not show outside-domain viewers, so use a tracked sharing tool if external reading activity matters.
